1. Introduction

Welcome to KKoode ("we", "our", or "us"), a service operated by KUKUDE LTD, a company registered in the United Kingdom with our registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

These Terms of Service ("Terms") govern your access to and use of the KKoode website, API, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Services

KKoode provides a unified API interface to access various AI models from providers including OpenAI, Anthropic, Google, DeepSeek, and others. Our Services allow you to make API requests to these models through a single interface.

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

3. Registration and Account Security

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. Billing and Payment

Our Services operate on a pay-as-you-go model. You purchase credits that are used to pay for API usage. Prices vary by model and are subject to change. Credits are non-refundable but do not expire. We may offer volume discounts for high-usage customers.

By purchasing credits, you agree to pay all fees in accordance with the billing terms in effect at the time a fee or charge is due and payable. If you dispute any charges, you must notify us within 30 days of the date of billing.

We use Paddle as our payment processor. By making a purchase, you also agree to Paddle's terms of service.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable national, federal, state, local, or international law or regulation
• To generate illegal, harmful, threatening, abusive, or discriminatory content
• To impersonate or attempt to impersonate KKoode, a KKoode employee, another user, or any other person or entity
• To engage in any activity that interferes with or disrupts the Services (or the servers and networks connected to the Services)
• To attempt to gain unauthorized access to the Services, other accounts, or computer systems or networks connected to the Services
• To use the Services for spam, phishing, or other malicious purposes
• To reverse engineer or attempt to extract the source code of our software
• To use the Services to generate, train, or fine-tune AI models without our explicit permission

6. API Usage and Rate Limits

We may impose rate limits on API requests to ensure fair usage and service stability. Excessive usage that negatively impacts our Services or other users may result in temporary or permanent restrictions on your account.

You agree not to circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any content.

7. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by KUKUDE LTD, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of your content, but grant us a license to use, store, and process it as necessary to provide our Services.

8. Third-Party Services

Our Services integrate with third-party AI models and services. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the content, privacy practices, or availability of third-party services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, (B) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KUKUDE LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

You agree to defend, indemnify, and hold harmless KUKUDE LTD, its directors, employees, partners, agents, suppliers, and affiliates, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Termination

We may terminate or suspend your account and access to our Services at any time for violations of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
